1. Agreement to Terms

By accessing or using AviatorFlow ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AviatorFlow provides a cloud-based flight school management platform that includes:

• Student and instructor management
• Aircraft scheduling and tracking
• Flight logging and record keeping
• Maintenance tracking and alerts
• Billing and payment processing
• Reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

3. User Accounts and Responsibilities

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not use another user's account without permission. You are solely responsible for your account and any consequences of its use or misuse.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful code, viruses, or malicious software
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal or unauthorized purpose
• Scrape, harvest, or collect data from the Service without permission
• Impersonate any person or entity
• Share or resell access to the Service without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your account.

5. Data Ownership and Usage Rights

Your Data: You retain all ownership rights to the data you input into the Service ("Customer Data"). By using the Service, you grant us a limited license to use, store, process, and display your Customer Data solely for the purpose of:

• Providing the Service to you
• Maintaining and improving the Service
• Creating aggregated, anonymized analytics to improve features and performance
• Complying with legal obligations

Anonymized Data: We may use anonymized and aggregated data derived from your use of the Service for analytics, service improvements, and product development. This data cannot be used to identify you or your flight school.

Data Portability: You may export your Customer Data at any time in standard formats. Upon account termination, you have 90 days to export your data before it is deleted.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of AviatorFlow and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks, logos, and service marks may not be used without our prior written consent. All other trademarks appearing on the Service are the property of their respective owners.

7. Payment and Subscription Terms

Pricing

Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing with at least 30 days' notice.

Billing

By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for maintaining valid payment information and for all charges incurred under your account.

Refunds

We offer a 14-day money-back guarantee for new subscriptions. After 14 days, subscription fees are non-refundable. If you cancel your subscription, you will continue to have access until the end of your current billing period.

Failed Payments

If a payment fails, we will attempt to contact you and retry the charge. If payment is not received within 10 days, we may suspend or terminate your access to the Service.

8. Service Availability and Support

We strive to provide reliable service but cannot guarantee 100% uptime. The Service is provided "as is" and "as available" without warranties of any kind.

We may perform scheduled maintenance with advance notice. We will make reasonable efforts to minimize disruption during maintenance windows.

Support is provided via email during business hours (Monday-Friday, 9 AM - 5 PM ET). Response times vary based on your subscription tier.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVIATORFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AviatorFlow, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

By You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

By Us: We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms, including but not limited to:

• Violation of the Acceptable Use Policy
• Non-payment of fees
• Fraudulent activity
• Violation of applicable laws

Upon termination, your right to use the Service will immediately cease. You will have 90 days to export your data before it is permanently deleted from our systems.

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

Important: While AviatorFlow is designed to assist with flight school management and FAA recordkeeping requirements, users are solely responsible for ensuring compliance with all applicable FAA regulations and maintaining backup records.

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions.

Informal Resolution: Before filing a claim, you agree to contact us at legal@aviatorflow.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Arbitration: If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except where prohibited by law.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to bring claims as part of a class action.

14. Changes to Terms of Service

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

15. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and AviatorFlow regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, or failure of third-party services.
